C1Scope & acceptance
This page applies to all paid subscription tiers of Alessandro Palombo's publication, under any current or future name (including tiers described as "Paid", "Founding", or similar), hosted on Substack or any successor platform, and to the communities, groups, events, and benefits attached to them (the "Membership"). By subscribing to a paid tier you accept these terms, together with Parts A, B, D, E, and F of this framework. Memberships are personal and non-transferable: access, entitlements, and community seats cannot be assigned, shared, or resold.
The benefits of each tier are those described at the point of subscription. Descriptions in marketing posts, notes, or conversations are indicative summaries; this page governs how those benefits operate.
C2Who you contract with
Your contractual counterparty for the Membership is the entity operating the publication, as identified in the publication's own about page or legal notices, consistent with the entity-by-channel rule in the Session terms. Billing, payment processing, invoicing, and subscription management are handled by the hosting platform (e.g. Substack and its payment processor, Stripe), under their own terms, which also apply to your subscription.
C3Benefits, as available
Membership benefits (such as essays, guides, signals, replays, slide decks, AMAs, chats, groups, votes, archives, and similar) are provided as available. Specifically:
- The format, frequency, composition, scheduling, and delivery method of any benefit may change, be substituted with a reasonable equivalent, or be retired as the publication evolves. The overall substance of the tier is maintained in good faith.
- No specific volume, cadence, or publication schedule is promised; editorial judgment governs what gets published, covered, or hosted, and when.
- Individual sessions or events (an AMA, a webinar, a chat) may be moved or cancelled; where a benefit is discontinued entirely without reasonable substitution, the remedy is the pro-rata treatment available under the platform's rules, not damages.
- Any content within the Membership remains subject to Part A: information and opinion, not legal, tax, immigration, financial, or investment advice, and no signal or analysis is a recommendation to transact.
- "Signals" and similar flags are informational observations published without knowledge of your situation: they involve no suitability assessment, may prove wrong, and past accuracy is no indication of future accuracy. Acting on them is exclusively your decision and your risk.
- Reasonable pauses in publication or benefits (health, travel, technical issues, force majeure) may occur; affected benefits resume when publication resumes, and such pauses are not a breach of these terms.
C4Capacity & admission
Some tiers and benefits are capacity-limited (for example, cohort caps, private groups, call slots, live seats). Capacity limits are real and generally first-come, first-served; a stated cap may be adjusted over time without affecting existing members' access. Admission to limited tiers, cohorts, or groups may be subject to acceptance; where an application or purchase is declined before access is granted, the amount paid is refunded in full and no further obligation arises on either side.
C5Calls & answers within tiers
Where a tier includes calls, Q&A, or individual answers, those interactions are governed by the Terms for Calls & 1:1 Answers (best-effort, strategic conversations, not professional advice). In addition:
- Included 1:1 calls are a supplementary benefit, ancillary to the publication: the core of every tier is the published content and community, and call entitlements are not the principal consideration of the subscription price.
- Included calls are scheduled strictly on availability, within the host's published windows and within the membership period they belong to. Reasonable efforts are made to offer slots during the period, but no specific timing is promised: an entitlement does not guarantee a call within any given month, semester, or other timeframe inside the period.
- Unused benefits do not accumulate: entitlements not used within the relevant period (for example, calls per year, monthly sessions) expire at the end of that period, do not roll over, and have no cash value or refund equivalent.
- Extra time is charged separately: time beyond the included duration of a call, and any additional calls beyond the entitlement, are available only if agreed in advance and are billed apart, at the rates in force at that time.
- Scheduling, rescheduling, and no-show rules follow the Session terms.
C6Introductions
Where a tier includes introductions to practitioners, professionals, or service providers, an introduction is exactly that: a connection to an independent third party. Vetting reflects reasonable diligence at the time, not a guarantee of quality, availability, pricing, or outcome. Any engagement that follows is exclusively between you and that practitioner, under their own terms, and no responsibility is accepted for their advice, acts, or omissions. Referral arrangements, where they exist, are disclosed under the conflicts disclosures.
C7Community rules
- Community spaces (chats, groups, threads, live sessions) require respectful conduct. No harassment, spam, solicitation of other members, impersonation, or sharing of other members' identities, messages, or personal details outside the space.
- What members share in community spaces is their own responsibility and their own opinion; it is not reviewed, endorsed, or verified, and it is not advice. Confidentiality between members cannot be guaranteed; share accordingly.
- Signals, analysis, or ideas discussed in community spaces are for members' personal, non-commercial use and may not be redistributed, resold, or republished.
- Members who breach these rules may be warned, muted, or removed without refund beyond what mandatory consumer law requires; serious abuse leads to immediate removal.
C8Pricing, changes & discounts
The price of a tier is the one displayed by the platform at your checkout. Prices for future periods and future subscribers may change at any time; changes to an active recurring subscription follow the platform's notice rules. In addition:
- Discounts, promotional rates, and cohort pricing (including launch or founding pricing) are discretionary, may be offered, modified, or withdrawn at any time, and apply only to those who subscribe under them.
- A cohort price binds only that cohort and period: it creates no right to the same price for other tiers, later cohorts, renewals beyond its own terms, or other subscribers.
- No member has a claim arising from another member paying a different price, at any time, for any reason.
C9Cancellation & refunds
You can cancel a subscription at any time through the platform's subscription settings. Cancellation stops future renewals; access continues until the end of the period already paid. Refunds for subscription payments follow the platform's refund policy and, where granted, are processed through the platform. On our side, termination works in two distinct ways:
- Termination for breach: where a membership is ended because of a breach of these terms (for example, redistributing or reselling paid content, sharing account access, abusive conduct in community spaces, or misuse of signals or materials), access ends immediately and no refund is due for the current period, beyond what mandatory consumer law requires. Termination does not waive any claim for damages caused by the breach, including intellectual property claims.
- Termination at discretion: where a membership is ended at the operator's discretion for reasons other than breach, the unused portion of the current period is refunded pro-rata and no fault is implied on either side.
Nothing in this page limits any non-waivable rights you hold under mandatory consumer protection law, including any statutory withdrawal rights applicable at signup.
C10Member content & intellectual property
Paid essays, guides, signals, replays, decks, and other Membership materials are licensed for your personal, non-commercial use. Redistributing, republishing, reselling, scraping, or systematically sharing paid content, or sharing account access, is prohibited and grounds for removal without refund beyond what mandatory law requires. The intellectual property rules of the Content terms apply to all Membership materials.
C11Limitation of liability for Membership
To the maximum extent permitted by applicable law, total aggregate liability arising out of or in connection with the Membership, its benefits, its community spaces, or their interruption or modification is limited to the amount you paid for the current subscription period. For Sessions included in a tier, this same cap applies in place of the per-session cap of the Session terms. Liability is excluded for indirect or consequential loss, including loss of opportunity, trading or investment losses, tax consequences, or decisions taken on the basis of Membership content or community discussions. Nothing in these terms excludes liability that cannot be excluded under applicable law, including for fraud or for death or personal injury caused by negligence.
